TURUNÇ has advised UK-based international coffeehouse chain Caffè Nero on the purchase of the entire equity stake held by its Turkish joint venture partner Infinity Invest in Caffè Nero’s Turkish subsidiary. As a result of the transaction, Caffè Nero Turkey has become a fully-owned subsidiary of the Caffè Nero group. TURUNÇ client PETRONAS has successfully obtained a group exemption from the Turkish Competition Board to enter into exclusive supply agreements with distributors, retailers and other buyers of lubricant products. TURUNÇ filed for the exemption and oversaw the application throughout the review process by the Competition Board. The TURUNÇ team included Noyan Turunç and Esin Çamlıbel. TURUNÇ has advised Rultrans Trasmisyon and its shareholders on sale of Rultrans to Italy’s Megadyne. Rultrans is an Izmir-based producer of PVC and polyurethane conveyor belts. TURUNÇ is advising Netsis and its shareholders on the undergoing sale of Netsis to Logo, Mediterra Capital portfolio company. Netsis and Logo are the two largest enterprise application software developers in Turkey and the closing of the transaction is subject to the approval of the Competition Board. TURUNÇ has advised Counsel to Eigenmann & Veronelli, an Italy-headquartered producer and distributor of fine chemicals, specialties and performance chemicals operating in numerous countries, on its majority acquisition of Parkim Parfüm, a supplier of specialty and commodity chemicals mainly for cosmetic and household market in Turkey. TURUNÇ has advised Uyum Gıda, a publicly traded supermarket chain, and its shareholders on the sale of sale of a 47.32% equity stake to Makro Market, another supermarket chain. The event was organized by asialaw (a division of Euromoney Institutional Investor) in association with the International Bar Association, Hong Kong Corporate Counsel Association and the Legal Media Group, and held in Hong Kong on March 21 & 22, 2012. Noyan Turunç, Kerem Turunç and Aslı Işık represented TURUNÇ at the summit, which included a panel on Turkey hosted by the Firm. Gülçin Aytekin, commercial attaché at the Consulate-General of the Republic of Turkey in Hong Kong also joined the panel, which focused on Turkish legal and regulatory framework relating to foreign direct investment, inward M&A transaction and Turkish competition laws, among other topics.
